Bylaws Highlights

Article I: Name

The name of the club.

Article II: Purpose

The purpose of the club.

Article III: Policies

No discrimination
Govern through the officers
Non-profit

Article IV: Membership

Membership is open to anyone with an interest in the Solstice (and Sky?)
Membership benefits include voting and participation in activities
Members may resign at any time, and failure to pay dues constitutes resignation
The board may revoke membership to members who are harmful to the organization.  This action may be appealed.

Article V: Dues

Dues are $18 annually. It will be prorated for those who join “off-cycle.”

Article VI: Officers and Directors

President, Vice President, Treasurer, Secretary
Officers must be members in good standing
Can vendors be officers?
Election of Directors:  At annual meeting vs by mail before meeting
Terms of office: 2 year for directors, 1 year for officers
3 term maximum in a role
stagger terms of first board—half 1-year, half 2-year
Nominating committee will forward candidates
Officers elected by membership vs internally from and by board
Officers and Directors may resign
Officers and Directors may be removed from office by the board under certain conditions (eg: felony conviction, harm to the club)
Board vacancies will be filled by board appointments until the next scheduled election.

Article VII: Dues of the Officers and Directors

President: presiding officer, responsible for the club operations
Vice President: Second in command
Treasurer: Manage club funds
Secretary: Keep minutes and handle club correspondence, produce newsletter



Article VIII: Quorums

15% of membership must vote for elections to be valid

Role of committees
Proxies for voting

Article X: Dissolution

How the club may dissolve

Article XI: Amendments

Amendments and changes to the bylaws may be done by 2/3 vote of the members
